Terms of Service

1. Overview
These Terms of Service govern engagements with LE 589X LLC (the “Company,” “we,” “us”). The Company provides software development and technical consulting services on a contract basis to a small number of direct clients. Services are delivered digitally.
2. Engagements
Services are provided under a written contract or scope of work between the Company and the client. Each engagement defines deliverables, timeline, fees, and payment terms. We do not operate a public storefront, marketplace, or platform, and we do not accept payments on behalf of any third party.
3. Payment Terms
Payment terms are defined per invoice. Invoices are issued by the Company directly to the client business and are typically settled one-time per scope, or progressively against defined milestones. Payments are accepted via bank transfer or supported payment providers. Late payments may be subject to suspension of work and reasonable fees as set out in the applicable contract.
4. Deliverables & Intellectual Property
Ownership and license of deliverables are governed by the applicable contract or statement of work. Pre-existing materials, tools, and know-how owned by the Company prior to the engagement remain the property of the Company unless otherwise agreed in writing.
5. Confidentiality
Each party agrees to maintain the confidentiality of non-public information shared during the engagement and to use it solely for the purpose of performing under the contract.
6. Limitation of Liability
To the maximum extent permitted by law, the Company’s aggregate liability arising out of or relating to any engagement is limited to the fees paid by the client for the specific engagement giving rise to the claim. The Company is not liable for indirect, incidental, or consequential damages.
7. Termination
Either party may terminate an engagement in accordance with the applicable contract. Fees for work performed up to the date of termination remain due.
8. Governing Law
These Terms and any engagement are governed by the laws of the State of California, without regard to conflict-of-laws principles.
